Non Disclosure Agreement (NDA)
This document protects confidential information disclosed by individuals or businesses to each other during negotiations, demonstrations or presentations. It creates enforceable obligations between the parties that they will not disclose or use any confidential information for any purpose other than that set out in the agreement.
It can be used where only one party is disclosing information (a ‘one way’ disclosure) or where two parties are sharing information with each other (a ‘two way’ disclosure). Where the sharing of confidential information includes the disclosure of personal data, this document can also provide that all such personal data will be handled and processed in a way which is compliant with the necessary data protections laws and regulations.
